The Investec Wealth & Investment (UK) Client Council - Terms and Conditions of Use

The information below tells you how you may use the website clientcouncil.investec.com (the “Site”) and how you may participate in the The Investec Wealth & Investment (UK) Client Council (the “Community”). Please read these terms and conditions (the “Terms”) carefully before using the Site and participating in the Community.

By using the Site and by registering as a member of the Community, you confirm that you accept and will comply with the version of these Terms in force at that time. If you do not agree with any of the Terms, then you should not register or use the Site.

We may update and amend these Terms from time to time and the current version of these terms will be posted on the Site. It is your responsibility to ensure you review these Terms regularly to familiarise yourself with any changes. Your use of the Site and participation in the Community following any such changes will constitute your acceptance of the revised Terms, so every time you wish to use the Site, please check this page to make sure that you understand the Terms that apply at the time.

Who operates and who owns the Site and the Community?

  • The Community and the Site are administered and managed jointly by The Wisdom Council and STRAT7 Researchbods, a division of STRAT7 Limited (the “Administrators”). The Wisdom Council is a trading name of Wisdom Global Limited (“The Wisdom Council”), a company registered in England under company number 08589400, whose registered office is Cannon Green, 27 Bush Lane, London EC4R 0AA. STRAT7 Researchbods, a division of STRAT7 Limited is registered in England under company number 07642707, whose registered office is at 11 Soho Street, London, W1D 3AD.
  • The Administrators administer and manage the Community and the Site on behalf of Investec Bank plc and Investec Wealth & Investment Limited (together, “We”), each of whom are companies registered in England. Investec Bank plc’s company number is 00489604 and Investec Wealth & Investment Limited’s company number is 02122340. The registered office of Investec Bank plc is at 30 Gresham Street, London EC2V 7QP and the registered office of Investec Wealth & Investment Limited is at 30 Gresham Street, London EC2V 7QN. The VAT number is for Investec Bank plc is 480 9126 39 and the VAT number for Investec Wealth & Investment Limited is 480 9126 39. Investec Bank plc is authorised by the Prudential Regulation Authority and regulated by the Financial Conduct Authority and the Prudential Regulation Authority. Investec Wealth & Investment Limited is authorised and regulated by the Financial Conduct Authority.

Who can register as a member of the Community?

  • Membership of the Community is free and is open to individuals who are invited to join the Community by Investec Bank plc or Investec Wealth & Investment Limited only (not corporations or other business entities). You are not obliged to join the Community. Only one registration per person is permitted.
  • You must be over 18 years of age to join the Community.

How do you register as a Community member?

  • In order to register as a member of the Community, you will need to provide your name (forename and surname), your personal email address and your date of birth. You promise that all information and details provided are true, accurate and up to date in all respects and at all times, and you must promptly notify the Administrators at support@clientcouncil.investec.com of any changes to the information and details provided.
  • You will also be asked to create a unique user name and password. You are responsible for all activity that occurs under your user name and password. You must keep your password confidential and you must not disclose it to any third party. We will not be responsible, and neither will the Administrators be responsible, where your password is used by someone else. You should notify the Administrators immediately of any unauthorised use of your user name or password or any breach of security as soon as you become aware of it. We and the Administrators have the right to disable any user name or password, whether chosen by you or allocated to you by the Administrators, at any time, if in our reasonable opinion or in the reasonable opinion of either of the Administrators you have failed to comply with any of the provisions of these Terms.
  • If you know or suspect that anyone other than you knows your user name or password, you must promptly notify the Administrators at support@clientcouncil.investec.com

How is your information used?

  • Please read the Administrators’ Privacy Notices and Cookies Notices, which are posted on the Site, which contain important information about how the Administrators will use any personal information about you that the Administrators receive through your registration and participation in the Community and your use of the Site.
  • By using the Site and registering as a member of the Community, you also acknowledge and agree that if the Administrators disclose any personal information you provide to us, we will only use any personal information provided to us as set out in our Privacy Notices: https://www.investec.com/en_gb/legal/UK/data-protection-notice/private-bank.html (in relation to Investec Bank plc) and https://www.investec.com/en_gb/legal/privacy-policy.html (in relation to Investec Wealth & Investment Limited).
  • If there is any inconsistency between these Terms and the terms of any Privacy Notice or Cookies Notice, the Privacy Notice and Cookie Notice will prevail to the extent of such inconsistency.

How will you be communicated with?

We, and the Administrators, may communicate with you by email or by posting notices on the Site. You agree to receive communications electronically in this way, and that electronic communications will satisfy any legal requirement for communications to be in writing.

Prize Draws

  • From time to time, you may be eligible to enter a prize draw as part of the activities on the Community.
  • The promotor of any prize draw will be The Wisdom Council and the terms and conditions of the prize draw will be set out on the Site from time to time or in an invitation to participate in the prize draw. The terms and conditions of the prize draw may be amended at any time without prior notice and any changes will be posted on the Site. It is your responsibility to review the applicable terms and conditions of the prize draw.
  • By entering a prize draw, you accept and agree to the terms and conditions of the prize draw. If you do not agree with any of the terms and conditions of the prize draw, then you should not participate. You acknowledge that The Wisdom Council, and we, reserve the right to refuse entry or to refuse to award the prize, or to hold void, cancel, suspend or amend the prize draw. Insofar as is permitted by law, we will not in any circumstances be responsible or liable to you in any way with respect to a prize draw (and, in particular, we will not be liable to compensate you or accept any liability for any loss, damage, personal injury or death occurring as a result of taking up the prize).

Are there any restrictions when using the Site or participating in the Community?

  • By using the Site and participating in the Community, you agree that you will only do so for your own personal, non-commercial use. You agree not to use the Site for any commercial or business purposes.
  • You further agree that you will not:
    • use the Site to in any way infringe the privacy, intellectual property or other rights of any other person;
    • use the Site in any way that may lead to the encouragement, procurement or carrying out of any criminal or unlawful activity, or cause distress, harm or inconvenience to any other person;
    • do anything that subjects the Site, the Community, the Administrators or us to any derogatory treatment or brings (or might bring) the Site, the Community, the Administrators or us into disrepute;
    • do anything that may cause damage to the Site or the Administrators’ servers, systems or equipment or those of third parties, nor access or attempt to access any other users’ data;
    • attack the Site via a denial-of-service attack or a distributed denial-of-service attack or otherwise misuse or do anything that disrupts all or any part of the Site, including but not limited to knowingly introducing software viruses, trojans, worms or other material that may be technologically harmful;
    • attempt to gain unauthorised access to any part of the Site, the Administrators’ servers, systems or equipment or those of third parties; or
    • penetrate, remove or otherwise alter or interfere with any security measures that are used to protect the material and content made available via the Site, or attempt to do so or assist any other person in doing or attempting to do so.
  • You agree to compensate us and the Administrators in respect of any damages or losses suffered by us or the Administrators as a result of any claim made by a third party relating to:
    • your use of the Site in breach of these Terms (or any other applicable terms); or
    • your violation of any applicable law or regulation when using the Site.
  • You also acknowledge that if you commit any criminal offence under the Computer Misuse Act 1990, we or the Administrators will report any such breach to the relevant law enforcement authorities and will co-operate with those authorities by disclosing your identity to them.
  • You promise that you are authorised to agree to these Terms and to any other terms that apply to your use of the Site and membership of the Community.

Who is responsible for user generated content?

  • The Site may incorporate certain content that is generated by members of the Community (including you) (“User Generated Content”). You acknowledge and agree that:
    • we do not have the ability to control the User Generated Content and the Administrators’ ability to control the User Generated Content is limited;
    • neither we nor the Administrators endorse any User Generated Content;
    • neither we nor the Administrators give any guarantee that any User Generated Content will meet the standards that content produced by either us or the Administrators would ordinarily meet and you therefore should not rely on User Generated Content; and
    • any views expressed in User Generated Content do not necessarily reflect our views or the views of the Administrators.
  • Consequently, neither we nor the Administrators accept any responsibility or liability for User Generated Content or any actions or omissions that you may take in reliance on it.

Linking to the Site

  • You must not establish a link to the Site without our permission and the permission of the Administrators.
  • If such permission is given, you promise that you will not establish a link to the Site in such a way as to suggest any form of association, approval or endorsement on our part or on the part of the Administrators where none exists.
  • You must not establish a link to the Site in any website that is not owned by you or to any part of the Site other than that part of the Site in respect of which linking permission has been given.
  • The Site must not be framed on any other site.
  • If linking permission has been given, we or the Administrators may withdraw such permission without notice.

Links to third party sites and resources from the Site

  • Where the Site contains links to other sites and resources provided by third parties, these links are provided for your information only. Such links should not be interpreted as approval by us or by the Administrators of those linked websites or information you may obtain from them.
  • You acknowledge that neither we nor the Administrators have control over the contents of those sites or resources.

What additional terms apply to content you submit?

  • The Site may contain features that allow you to submit contributions to the Site or upload content to the Site. If you wish to submit any contribution to the Site or upload any content such as any text (including, for instance, on any chat rooms or forums or on any classified pages), photographs, graphics, video or audio to the Site (“Submission”), you warrant that any Submission you make will not contain:
    • anything that may have the effect of being harassing, threatening, abusive or hateful or which degrades, discriminates against or intimidates an individual or group of individuals on the basis of religion, gender, sexual orientation, race, ethnicity, age, disability or any other legally protected characteristic;
    • anything that infringes the rights, including but not limited to the privacy or intellectual property rights, of a third party;
    • any third party content such as music, third party trademarks, logos, location signage, or photographs, artwork or sculpture unless you have consent from the owner to include that third party content; or
    • anything that is in any way defamatory, obscene, unlawful, harmful, offensive or inappropriate or that would constitute a contempt of court or expose us or the Administrators to any civil or criminal proceedings.
  • You agree that you will be liable for and will indemnify us and the Administrators for any breach of the warranty given by you above. This means that you will be responsible for any loss or damage which we or the Administrators suffer as a result of your breach of warranty. We and the Administrators also have the right to disclose your identity to any third party who is claiming that any content posted or uploaded by you to the Site constitutes a violation of their intellectual property rights, or of their right to privacy.
  • Any Submission will be considered non-confidential and non-proprietary. You are solely responsible for securing and backing up your Submission.
  • By making a Submission, you grant to us and to the Administrators a royalty-free, perpetual, irrevocable, non-exclusive, worldwide license to use, copy, edit, adapt, publish, translate, create derivative works from, make available, communicate and distribute that material (in whole or part) and/or to incorporate it in other works in any form, media, or technology now known or later developed. You also grant to other users a royalty-free, perpetual, irrevocable, non-exclusive, worldwide license to use your Submission in accordance with the functionality of the Site for their purposes.
  • To the extent permitted by law, you waive your moral rights (e.g. the right to be identified as author or to object to derogatory treatment) in any Submission you make.
  • You agree that we and the Administrators have the right to remove or require the removal of your Submission if, in our opinion or the opinion of either of the Administrators, your Submission does not comply with any Community content standards or guidelines posted on the Site from time to time.
  • You further agree that you will not endanger yourself or others, or take any unnecessary risks in order to produce or make any Submission.

How can your membership of the Community be amended and terminated?

  • You may terminate your membership at any time by unsubscribing from the Community. This can be done by going directly to your “Profile” page. Here you can update your membership information or delete your account entirely. Alternatively, you send your request to support@clientcouncil.investec.com.
  • If you unsubscribe from your Community membership, your profile information will be removed, you will be unable to access the Site and you will no longer receive emails relating to the Community from us or from the Administrators. In addition, you will forfeit any incentives or rewards that have not been administered at the time you opt out.
  • The termination will take effect up as soon as reasonably practicable following receipt of the unsubscribe notice, and in any event within 5 business days thereafter.
  • If at any time you choose to withdraw your acceptance of these Terms or the Privacy Notice via your “Profile” page, your Community membership will be terminated.
  • At the bottom of every email communication relating to the Community from us or the Administrators, there is an “unsubscribe” link. Clicking on this will allow you to unsubscribe from the email communications relating to the Community from us or the Administrators, but you will continue to be a member, your profile information will remain, and you will continue to have access to the Site.
  • If you do not access the Site within 12 months of unsubscribing from email communications relating to the Community from us or the Administrators, the Administrators will terminate your Community membership.
  • If you would like to re-subscribe to email communications at any time, you can do so by emailing your request to support@clientcouncil.investec.com.
  • If you wish to do so, you can execute your right to be forgotten with respect to the Community by sending a request to support@clientcouncil.investec.com. Once Administrators have received the request, all your profile information and data related to your Community experience will be deleted.
  • We may close the Community when the research programme ends or is cancelled. The Administrators will try to inform all Community members by email of the Community being closed, at which point your access to it will cease.
  • We and the Administrators also reserve the right to suspend or terminate your Community membership, or your ability to access to the Site immediately and without notice at any time, without having to give reasons.
  • You acknowledge that no guarantee is given that the Site will always be available or uninterrupted. The Site may be suspended or withdrawn by us or the Administrators, and availability of all or any part of the Site may be restricted, without notice at any time, without having to give reasons.
  • You acknowledge that the Site will be updated and changed from time to time, including but not limited to reflect changes to our products, Community members’ needs and our and the Administrators’ business priorities.

What are our and the Administrators’ obligations and limits on liability?

  • The Site and the Community are provided on an “as is” and “as available” basis. No guarantee is given that the Site will be secure or free from bugs or viruses. You are responsible for configuring your information technology and computer programmes to access the Site and should use your own virus protection software.
  • Neither we nor the Administrators promise that the Community or the Site will be free from errors or omissions, nor that they will be available uninterrupted and in a fully operating condition, or free from viruses or other harmful components. Neither we nor the Administrators guarantee that all or any features of the Site or the Community will work on any particular device.
  • Although reasonable efforts are made by the Administrators to update the information on the Site, neither we nor the Administrators make any representations, warranties or guarantees, whether express or implied, that the content on the Site is accurate, complete or up to date.
  • Any content or other materials included on the Site do not, and are not intended to, amount to advice on which you should rely. Consequently, neither we nor the Administrators accept any responsibility or liability for any actions or omissions that you may take in reliance on such content or materials.
  • By using the Site and participating in the Community, you agree to release us and the Administrators from any and all liability whatsoever arising in any way from your use, misuse or inability to use the Site or the Community.
  • To the maximum extent permitted by law, neither we nor the Administrators will be liable in contract, tort, negligence or otherwise for any loss or damage whatsoever in any way connected with your use, misuse, or inability to use the Site or participation in the Community, including without limitation, any direct, indirect, incidental, special or consequential damages, expenses or losses of whatever nature, including damage to software or hardware, loss of data, damage for loss of business, loss of profits, or any other indirect or consequential loss.
  • Nothing in these Terms will exclude or limit in any way any liability to you where it would be unlawful to do so.

Who can use the intellectual property in the Site?

  • The Administrators are the owner or the licensee of all intellectual property rights in the Site, and we or the Administrators are the owner or the licensee in the material published on it. Those works are protected by copyright laws and treaties around the world. All such rights are reserved.
  • You may print off one copy, and may download extracts, of any page(s) from the Site for your personal use, but you must not modify the paper or digital copies of any materials you have printed off or downloaded in any way, and you must not use any illustrations, photographs, video or audio sequences or any graphics separately from any accompanying text.
  • You agree to always properly acknowledge the status that we and the Administrators have (and the status of any identified contributors) as the authors of content on the Site.
  • You must not use any part of the content on the Site for commercial purposes without obtaining a licence to do so from us and the Administrators.
  • If you print off, copy or download any part of the Site in breach of these terms of use, your right to use the Site will cease immediately and you must, at our or the Administrators’ option, return or destroy any copies of the materials you have made.
  • Nothing contained in these Terms grants you a license or a right to use any copyright, trade marks, design rights, patents or other intellectual property right owned or controlled by us, members of the group of companies to which we belong, the Administrators, our respective partners or any third party, except to the limited extent necessary to access and use the Site and the Community in accordance with these Terms.

Can we transfer our rights under these Terms?

We may transfer our rights and obligations under these Terms to another organisation.

Can a third party enforce these Terms?

These terms do not create any rights that are enforceable by any person who is not a party to these Terms, with the exception of the Administrators, who may enforce these Terms as if they are each a party to these Terms.

What happens if we or the Administrators do not enforce a right under these Terms against you?

If we or the Administrators decide not to exercise or enforce a right against you (e.g. as a result of you breaching these Terms), this does not prevent us or the Administrators from doing so at a later date.

What happens if part of these Terms is not enforceable?

If any provision of these Terms is found by any court or administrative body of competent jurisdiction to be invalid or unenforceable then that invalid or unenforceable part will be deemed deleted from these Terms, but such invalidity or unenforceability will not affect the other provisions of these Terms and they will remain in full force and effect.

What happens if there is a dispute about these Terms?

These Terms are available in English only. These Terms, their subject matter and their formation are governed by English law. You and we both agree that the courts of England and Wales will have exclusive jurisdiction.

How do you report potential abuse?

Any member of the Community can report an abusive comment using the “Report” button on the Site. The “Report” button is positioned next to every individual comment made by every individual member. Members can also report abuse directly by sending an email to support@clientcouncil.investec.com.
